1. Acceptance of Terms

By accessing or using Replayd ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. The Service is operated by Replayd ("we", "us", "our").

2. Eligibility

You must be at least 13 years old to use Replayd. If you are under 18, you must have parental or guardian consent. By using the Service, you represent and warrant that you meet these eligibility requirements.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must provide accurate information and keep it updated. We reserve the right to suspend or terminate accounts that violate these Terms.

4. User Content

You retain ownership of content you upload ("User Content"). By posting User Content, you grant Replayd a worldwide, non-exclusive, royalty-free license to host, display, distribute, and promote your content on the Service. You represent that you have the right to upload such content and that it does not infringe third-party rights.

5. Revenue Sharing

Eligible User Content may generate ad revenue. Creators receive 60% of net ad revenue attributed to their clips. Replayd retains 40%. Revenue calculations are based on verified, monetizable views as defined in our Creator Program documentation. Minimum payout threshold is $10 USD. Payouts are processed monthly via Stripe. Replayd reserves the right to withhold payments for suspected fraudulent activity.

6. Prohibited Conduct

You may not: upload content that is illegal, harmful, threatening, abusive, harassing, defamatory, or obscene; upload sexually explicit content or content depicting minors; engage in view manipulation, click fraud, or artificial inflation of metrics; use bots, scripts, or automated tools to interact with the Service; attempt to circumvent content moderation systems; impersonate others or misrepresent affiliation; reverse engineer, decompile, or disassemble the software; use the Service for any purpose that violates applicable law.

7. Content Moderation

We reserve the right to review, remove, or restrict access to any User Content at our discretion. We employ automated systems and human review to enforce these Terms. Violations may result in content removal, account suspension, or permanent ban.

8. Intellectual Property

The Replayd name, logo, software, and all related materials are the intellectual property of Replayd. You may not use our trademarks without prior written permission.

9. Disclaimers

The Service is provided "as is" without warranties of any kind. We do not guarantee uninterrupted access, error-free operation, or specific revenue amounts. Ad revenue rates fluctuate based on market conditions.

10. Limitation of Liability

To the maximum extent permitted by law, Replayd shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.

11. Changes to Terms

We may update these Terms at any time. Material changes will be communicated via the Service or email. Continued use after changes constitutes acceptance.
